General Terms & Conditions

Crown Fields: Crown Fields B.V., Weena 690, 3012 CN Rotterdam, KvK 88456710. Buyer: the business entity registering for an account or placing an order. Portal: app.crownfields.nl and any sub-domain operated by Crown Fields. Products: fresh produce supplied by Crown Fields.

These terms apply to every quote, offer, order confirmation, delivery and invoice between Crown Fields and the Buyer. The Buyer's own purchasing terms are expressly rejected.

Quotes are valid 48 hours unless stated otherwise and are subject to product availability. An order is binding only after written confirmation by Crown Fields (including via the portal). Specifications (calibre, brix, packaging) are described as accurately as possible but are subject to natural variation inherent to fresh produce.

Prices are in EUR, ex-warehouse Rotterdam unless otherwise agreed, excluding VAT, packaging deposits and delivery charges. Payment terms are Net 14 days from invoice date, unless a different term is shown on the invoice or in your portal profile. Orders above the approved credit limit require prepayment before stock is released. Late payment incurs statutory commercial interest under Art. 6:119a BW plus collection costs.

Delivery times are best-effort indications. Risk passes to the Buyer at the moment Products leave our warehouse (or, for Buyer pickup, at handover). Crown Fields is not liable for delays caused by carriers, customs, weather or other force-majeure events.

The Buyer must inspect Products at delivery. Visible defects must be reported in writing within 24 hours of receipt with photographic evidence and lot codes. Latent defects must be reported within 48 hours. Claims filed later are not admissible. Accepted claims are settled by credit note or replacement at Crown Fields' discretion.

All delivered Products remain the property of Crown Fields until the Buyer has paid all amounts owed in full, including interest and costs.

Crown Fields' total liability per event is limited to the net invoice value of the Products to which the claim relates. Indirect or consequential damages (lost profit, loss of contracts, reputational damage) are excluded. The limitation does not apply in case of intent or gross negligence by Crown Fields' management.

Crown Fields operates in line with Regulation (EC) 178/2002. Lot codes are stored for 5 years and made available to the Buyer on request to support recall procedures.

Buyer is responsible for the security of its login credentials and for the actions of users it authorises. Crown Fields may suspend access in case of suspected abuse, non-payment or breach of these terms.

Personal data is processed in accordance with our Privacy Policy.

These terms are governed by Dutch law. The applicability of the Vienna Sales Convention (CISG) is excluded. Disputes fall under the exclusive jurisdiction of the competent court in Rotterdam, unless mandatory law provides otherwise.
